Terms of Service

These Terms of Service ("Terms") govern your use of ReconcileAI (getreconcileai.com), a B2B invoice reconciliation service operated by Cogniply, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KVK), based at Zetveld 145, 8447BC Heerenveen, Netherlands ("we", "us", "Cogniply"). By creating an account or using the service, you agree to these Terms.

ReconcileAI is a software-as-a-service tool that helps businesses reconcile invoices and financial line items using AI-assisted matching. Plans and features (Starter, Professional, Enterprise) are described on our pricing page and may change from time to time.

You must be at least 18 years old and able to form a binding contract to use ReconcileAI. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information when creating an account.

Paid plans are billed on a recurring basis (monthly, unless stated otherwise) through Paddle.com Market Limited, our payment processor and Merchant of Record. Paddle handles billing, invoicing, tax collection, and payment support. By subscribing, you also agree to Paddle's applicable buyer terms. Prices are shown in EUR unless otherwise noted. We reserve the right to change subscription pricing with reasonable advance notice.

You retain ownership of the financial data, invoices, and files you upload to ReconcileAI ("Your Data"). You grant us a limited license to process Your Data solely to provide the service to you (e.g., running reconciliation). We do not sell Your Data. See our Privacy Policy for details on how we handle personal and financial data.

You are responsible for ensuring you have the right to upload and process any data you submit through the service, including any third-party or customer data contained in your invoices.

You agree not to:

• Use the service for any unlawful purpose or to process fraudulent financial records.
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the service or its infrastructure.
• Upload malicious files or data intended to harm the service or other users.
• Resell or sublicense the service without our written permission.

We may suspend or terminate accounts that violate these terms.

We aim to keep ReconcileAI available and reliable, but we do not guarantee uninterrupted or error-free operation. The service is provided "as is" and "as available," without warranties of any kind, express or implied.

To the maximum extent permitted by law, Cogniply shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim relating to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be limited under applicable Dutch or EU law.

You may cancel your subscription at any time through your account or by contacting support@getreconcileai.com. We may suspend or terminate your access if you breach these Terms or fail to pay applicable fees. Upon termination, your right to use the service ends, though certain provisions (such as data retention obligations and limitation of liability) survive termination.

These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands, without prejudice to any mandatory consumer protection rights you may have under your local law.

We may update these Terms from time to time. If we make material changes, we will notify you via email or a notice on the website. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
